WellCare Health Plans (WellCare) is a leading provider dedicated to government-sponsored health plans such as Medicare, Medicaid, State Children's Health Insurance Programs and others. Founded in 1985, WellCare's team of 2,000 associates and over 20,000 physician partners provide managed care services targeted exclusively to government sponsored healthcare programs, focusing on Medicaid and Medicare. WellCare serves approximately 808,000 members. WellCare will also provide stand-alone prescription drug plans on a national basis under the Medicare prescription drug program. The WellCare Group of Companies operates plans under the WellCare, Staywell, HealthEase, Harmony and PreferredOne brands. WellCare is the largest Medicaid- and Medicare-only contractor in the nation and serves more Medicaid and Medicare members in the Southeast than any other health plan. WellCare acquired Harmony Health Systems in 2004, a provider of Medicaid managed care plans in Illinois and Indiana. WellCare is currently identifying markets for potential acquisitions or expansion that would increase its membership and broaden its geographic presence. These potential acquisitions or expansion efforts are at various stages of internal consideration, and the company may enter into letters of intent, transactions or other arrangements supporting its growth strategy at any time.
